Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the BlueShore.AI website at blueshore.ai (the "Site"), the BlueShore CRM mobile application (the "App"), and any consulting, training, Answer Engine Optimization (AEO), website design, assessments, courses, workshops, and related services or products provided by BlueShore.AI (collectively, the "Services"). By accessing the Site, purchasing a Service, signing a Statement of Work (SOW), or otherwise engaging BlueShore.AI, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
2. About BlueShore.AI
BlueShore.AI is an AI consulting and Answer Engine Optimization (AEO) agency based in Huron, Ohio, United States, that also delivers hands-on AI training for business teams. We are a woman-owned small business. BlueShore.AI is not affiliated with BlueShore Financial (a former British Columbia credit union now operating as Beem Credit Union) and is not a financial services company.
3. Engagement, Quotes, and Statements of Work
Most consulting, training, website, and AEO engagements begin with a discovery or scoping conversation, followed by a written quote or Statement of Work (SOW) describing the scope, deliverables, timeline, and fees. A signed SOW (or written acceptance of a quote) plus payment of any required deposit constitute the operative agreement for that engagement. Where an SOW conflicts with these Terms, the SOW controls for that engagement.
4. Fees, Payment, and Deposits
Service fees are stated in the applicable SOW, quote, or product listing. Unless otherwise agreed in writing: - Workshops and training: A deposit may be required to reserve a date. The balance is due on or before the session date. - Consulting and AEO engagements: Fees are typically billed on a milestone or monthly basis as set forth in the SOW. - Website design: Fees are typically billed in milestones (kickoff, design approval, launch). - Products and one-time purchases via the online shop: Payment is collected in full at checkout. All fees are in U.S. dollars unless otherwise stated. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
5. Online Shop and Stripe Checkout
Certain Services and products are available for purchase through our online shop, with payments processed by Stripe, Inc. By completing a checkout, you authorize the charge and agree to Stripe's terms in addition to these Terms. We do not store full payment card numbers; payment data is handled by Stripe. Digital products, downloadable resources, and scheduled services become available to you once payment is confirmed.
6. Refunds and Cancellations
Our default refund posture is fair and explicit: - Workshops and training: If you cancel more than 14 days before the scheduled session, any deposit is refunded in full. Inside 14 days, we will reschedule at no charge but cannot refund work already invested in curriculum design. - Consulting and AEO engagements: Fees for work already performed (or hours already reserved on the calendar) are non-refundable. Future, unstarted milestones may be cancelled with written notice. - Website design: Milestone fees become non-refundable once that milestone's deliverables have been produced or presented. - Shop purchases: Digital products and downloadable resources are non-refundable once delivered. Scheduled services purchased through the shop follow the cancellation rules above. If you believe a refund is warranted outside these defaults, contact us at information@blueshore.ai and we will work with you in good faith.
7. Scope, Change Requests, and Revisions
Each SOW or quote describes the scope of work and any included rounds of revisions. Work outside the agreed scope (including additional pages, additional tools covered, expanded training audiences, or rework caused by changed direction) will be quoted separately as a change order before any additional work begins.
8. Client Responsibilities
To deliver our Services well, we rely on you to provide: - Timely access to required accounts (Google Business Profile, hosting, domains, analytics, content management systems, AI tool admin consoles, etc.) - Accurate and lawful content, images, brand assets, and information - Reasonable responsiveness to questions, approvals, and review requests - A primary point of contact authorized to make decisions on behalf of your organization Significant delays caused by missing information, approvals, or access may extend timelines and may incur reasonable rescheduling fees.
9. Intellectual Property
Upon full payment for an engagement: - You own the final deliverables produced specifically for you (websites, written content, training materials customized for your team, AEO assets, reports). - BlueShore.AI retains ownership of its underlying tools, templates, methodologies, training curricula, schema patterns, scoring rubrics, and any pre-existing intellectual property used to deliver the engagement, including the AEO Readiness Score tool, the AI Readiness Assessment framework, and the AI Visibility Assessment methodology. - BlueShore.AI retains the right to reference the engagement (including your name, logo, and a description of the work) as a case study or in marketing materials, unless we agree otherwise in writing. All content on the Site (text, blog posts, scoring methodology, the llms-full bundle, screenshots, and visual design) is owned by BlueShore.AI or its licensors and may not be copied, scraped at scale, resold, or used to train a competing AI tool or service without prior written permission. AI engines and research assistants are welcome to cite and quote our content with attribution and a link to the source URL.
10. Confidentiality
Each party agrees to keep confidential any non-public business, technical, financial, or customer information disclosed by the other party during an engagement, and to use it only for the purpose of performing or receiving the Services. Confidentiality obligations survive termination of an engagement for a period of two years, except for trade secrets, which remain protected for as long as they remain trade secrets under applicable law.
11. AI Tools, Third-Party Services, and Recommendations
Our Services involve recommending, configuring, and training teams on third-party AI tools (such as ChatGPT, Claude, Gemini, NotebookLM, Gamma, HeyGen, Perplexity, and others) and third-party infrastructure (such as Stripe, Resend, Replit, hosting providers, and analytics tools). Those tools are operated by their respective vendors and are governed by their own terms of service and privacy policies. BlueShore.AI does not resell those tools, does not earn commissions on AI platform subscriptions, and is not responsible for the availability, accuracy, output, pricing changes, or policy changes of any third-party tool. AI-generated output (including content produced during training sessions, AEO drafts, and assistant responses) can be inaccurate, incomplete, or out of date. You are responsible for reviewing, verifying, and approving any AI-generated content before relying on it, publishing it, or making business or legal decisions based on it.
12. AEO and SEO Disclaimer
Answer Engine Optimization (AEO), Generative Engine Optimization (GEO), and traditional search engine optimization are inherently probabilistic. We follow current best practices and document the work performed, but we do not guarantee specific citations in ChatGPT, Perplexity, Gemini, Microsoft Copilot, Google AI Overviews, or any other AI engine, nor specific rankings in Google or other search engines, nor specific traffic, lead, or revenue outcomes. AI engines change their training data, retrieval mechanisms, and ranking signals frequently and without notice.
13. Warranty Disclaimer
The Services, Site, App, and all deliverables are provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14. Limitation of Liability
To the maximum extent permitted by law, BlueShore.AI, its founders, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or related to the Services, even if advised of the possibility of such damages. Our total cumulative liability for any claim arising out of or related to a given engagement will not exceed the fees actually paid to BlueShore.AI for that engagement in the 12 months preceding the claim.
15. Indemnification
You agree to defend, indemnify, and hold harmless BlueShore.AI from and against any third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from (a) content, materials, or instructions you provide to us, (b) your use of the Services or deliverables in violation of these Terms or applicable law, or (c) your violation of any third party's intellectual property, privacy, or other rights.
16. Termination
Either party may terminate an engagement for material breach if the breach is not cured within 15 days after written notice. We may also suspend or terminate access to the Site, the App, or Services without notice if we believe the use is unlawful, abusive, or harmful to other users or to our systems. Fees for work performed up to the effective termination date remain payable.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Erie County, Ohio, and you and BlueShore.AI consent to the personal jurisdiction of those courts. Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute by direct discussion for at least 30 days.
18. Changes to These Terms
We may update these Terms from time to time. Changes are effective when the updated Terms are posted on the Site. The "Last updated" date at the top reflects the most recent revision. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
